These Terms of Service (“Terms”) govern your access to and use of quitecozy.com and related subdomains (the “Site”) and our online store and related features (the “Services”). By using the Services, you agree to these Terms. These Terms should be read together with the Ordering & Payment Policy, Shipping & Delivery Policy, Returns & Exchanges Policy, and Privacy Policy (collectively, the “Policies”).

The Terms and the Policies form a single, unified Agreement between you and Quite Cozy, LLC (collectively, the “Parties”). The Policies are incorporated by reference and have the same force and effect as if fully set out in these Terms. If there is a conflict, these Terms control unless a Policy expressly states that it governs its subject matter.

You agree to the Agreement by any of the following:
• accessing or using the Site or Services;
• creating an account;
• placing an order; or
• checking any box, button, or similar mechanism indicating acceptance.
If you do not agree, do not use the Services.

This Agreement begins when you first access or use the Services and continues in effect until terminated by either Party as permitted under these Terms. Certain rights and obligations will continue after termination as described in the Survival section.

• “Account” means a customer account registered on the Site.
• “Agreement” means these Terms of Service and the Policies (the Ordering & Payment Policy, Shipping & Delivery Policy, Returns & Exchanges Policy, and Privacy Policy), which are incorporated by reference.
• “Business Days” means Monday – Friday, excluding US federal holidays.
• “Customer,” “you,” and “your” mean the person using the Services.
• “Parties” means you and Quite Cozy, LLC, collectively. Each is referred to individually as a “Party.”
• “Products” means items offered for sale on the Site.
• “Quite Cozy,” “we,” “us,” and “our” mean Quite Cozy, LLC.
• “Revision Date” means the date shown at the top of each document indicating when it was last updated.
• “Services” means our online store and related features (accounts, checkout, order support).
• “Site” means quitecozy.com and related subdomains (for example, account.quitecozy.com).

You agree to receive communications from Quite Cozy electronically, including emails, on-site messages, and messages in your Account. We may provide legal notices by email to the address in your Account or by posting on the Site. You agree these satisfy any legal requirement that communications be in writing.
By using the Services, you consent to transact with us electronically and to receive contracts, disclosures, and notices in electronic form; you can withdraw consent by stopping use of the Services and contacting Legal@QuiteCozy.com for available alternatives.

Notices are deemed received: (a) when emailed (if we send) or when actually received (if you send); (b) when posted on the Site; or (c) for postal mail to us, when delivered to the address above. This section does not limit required notices under the “Dispute Resolution” section.

You must be at least 18 to use the Services. Accounts are passwordless: to sign in, enter your email and verify with the one-time code we send (for example, a 6-digit code). You are responsible for (a) maintaining secure access to your email inbox and devices, (b) the accuracy of your Account information (including your email), and (c) all activity under your Account.
Do not share access to your email or verification codes. If you suspect unauthorized access or cannot access your email, contact Support@QuiteCozy.com promptly so we can help secure your Account. We may require identity verification before making Account changes.

The Services are directed to customers located in the United States and Canada. We make no representation that the Services or Products are appropriate or available in other locations.

We strive for accuracy, but errors may occur (for example, typos, pricing or availability errors, or image variances). We may correct errors and update information at any time without notice. If a price or availability error affects your order, we will contact you; you may cancel the order before fulfillment for a full refund of amounts paid, or we may cancel the order if the error cannot be reasonably corrected. Colors can appear differently due to device settings.

All content on the Site — including text, images, graphics, logos, icons, and page design — is owned by or licensed to Quite Cozy and protected by law. You may not use our trademarks, trade dress, or content without our prior written permission, except as allowed by law (for example, fair use).

Products sold by Quite Cozy are for personal use only and are not offered for wholesale or resale. We may limit quantities per customer, household, or order and may refuse or cancel orders that appear to be for resale (for example, bulk quantities, duplicate orders to the same address, or use of freight forwarders). Accounts engaged in resale activity may be restricted or canceled.
Promotions, Discounts, Gift Cards, & Store Credit

Promotions and discount codes are subject to the terms stated with the offer and the Ordering & Payment Policy. They cannot be applied to prior purchases unless a promotion expressly states otherwise. Gift cards and store credit are governed by the Ordering & Payment Policy. Gift cards are final sale except where required by law.
User Content (Reviews & Submissions)

If you submit reviews or other content, you represent that it is accurate, your own, and does not infringe others’ rights. You grant Quite Cozy a nonexclusive, worldwide, royalty-free license to use, reproduce, display, and distribute that content in connection with the Services and our marketing. We may moderate or remove content at our discretion.

If you believe content on the Site infringes your rights, email Legal@QuiteCozy.com with: (a) your contact details; (b) identification of the content and its location; (c) a description of your rights; and (d) a statement that you have a good-faith belief the use is not authorized. We may remove content in our discretion.

We respect intellectual property. If you believe content on the Site infringes your copyright, send a notice to Legal@QuiteCozy.com including: (1) your contact information; (2) identification of the copyrighted work; (3) identification of the allegedly infringing material and its location; (4) a statement that you have a good-faith belief the use is not authorized; (5) a statement under penalty of perjury that the notice is accurate and you are the copyright owner or authorized to act; and (6) your physical or electronic signature. We may remove content and, where appropriate, close Accounts of repeat infringers.

Feedback
If you provide ideas, suggestions, or feedback, you grant Quite Cozy a nonexclusive, worldwide, perpetual, irrevocable, royalty-free license to use and incorporate them without restriction or compensation.

You agree not to: (a) use the Services for any unlawful purpose; (b) attempt to gain unauthorized access to the Site, Accounts, or systems; (c) interfere with security features, performance, or integrity; (d) use bots, scrapers, or automated means without our written permission; (e) misrepresent your identity or affiliation; or (f) submit content that is unlawful, defamatory, infringing, or otherwise objectionable.

We may suspend, restrict, or terminate your access to the Services (in whole or part) without liability if, in our reasonable judgment, any of the following occurs: (a) you violate this Agreement; (b) your use creates security, fraud, or credit risk (for example, chargebacks, payment disputes, or account takeovers); (c) we detect abusive, unlawful, or harmful activity; (d) we reasonably believe your orders involve resale activity contrary to our Personal Use Only clause; (e) you provide false, inaccurate, or incomplete information; or (f) we are required to do so by law, court order, or a governmental request. We may also remove or refuse content, cancel orders consistent with our Policies, or place limits on your Account.
We generally provide notice when practical, but we may act without notice if necessary to protect customers, Quite Cozy, or third parties. You may stop using the Services at any time. Termination does not affect rights and obligations that by their nature should survive. See Survival below.
We may discontinue or modify all or part of the Services at any time, consistent with our Amendments clause and applicable law. For existing orders, the Ordering & Payment Policy, Shipping & Delivery Policy, and Returns & Exchanges Policy govern how we proceed.

The Services may link to or integrate third-party sites or services (for example, payment providers, carrier tracking). Those are governed by their own terms and privacy practices; we are not responsible for them.
Export & Sanctions Compliance

You agree to comply with all applicable export, re-export, and sanctions laws. You may not use the Services or purchase Products if you are located in or a resident of a jurisdiction embargoed by the United States, or if you are on a U.S. government restricted-party list.

How we collect, use, share, and protect information is described in our Privacy Policy. Our SMS practices (including consent, message types, opt-out, and non-sharing of mobile opt-in data) are described in the Privacy Policy under SMS/Text Messaging Terms and Mobile Data Sharing (SMS).
Risk of Loss & Title
Risk of Loss & Title
Risk of loss passes to you when the carrier records delivery at the shipping address on the order (for example, a “Delivered” scan or a required signature). Title to Products passes to you when we hand the shipment to the carrier, subject to payment in full.

EXCEPT AS REQUIRED BY LAW, THE SERVICES AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Some jurisdictions do not allow limitations on implied warranties; some or all of the above may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUITE COZY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM OR RELATED TO THE SERVICES OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES OR PRODUCTS WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) AT ISSUE DURING THE 12 MONTHS BEFORE THE CLAIM AROSE.
Some jurisdictions do not allow certain limitations; some or all of the above may not apply to you.

Any claim arising out of or relating to the Services or Products must be filed within 1 year after the claim accrues, or it is permanently barred, unless a longer period is required by law.

You agree to indemnify and hold Quite Cozy harmless from any claim, demand, loss, or expense (including reasonable attorneys’ fees) arising from your violation of this Agreement, your misuse of the Services, or your infringement of any third-party right.
Governing Law & Disputes
Governing Law & Disputes
This Agreement is governed by the laws of the State of Washington, without regard to conflict-of-laws rules. Before filing a claim, both parties agree to try in good faith to resolve disputes informally by emailing Legal@QuiteCozy.com; if not resolved within 30 days, either Party may proceed under the Dispute Resolution — Arbitration (Optional Election) section below or in court as permitted here. Nothing prevents either Party from seeking injunctive relief for misuse of intellectual property or breach of confidentiality.
• Courts (default if no arbitration is elected): If neither Party elects arbitration, you agree to the exclusive jurisdiction and venue of the state and federal courts located in King County, Washington, for any dispute not eligible for small-claims court.
• Small-Claims Court: Either Party may bring an individual action in small-claims court in a jurisdiction with personal/subject-matter jurisdiction.
For restrictions on consolidated, class, or representative proceedings, see Class Action Waiver below.
Dispute Resolution — Arbitration (Optional Election)

Either Party may elect binding individual arbitration for any dispute arising out of or relating to the Services, Products, or this Agreement (including the Policies), at any time before a court renders final judgment.
• Rules & Forum: Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. If AAA is unavailable, the parties will select a comparable consumer-friendly forum.
• Filing & Hearings: Arbitration may be conducted by telephone, video, and/or on written submissions, unless the arbitrator requires an in-person hearing. If an in-person hearing is required, it will take place in King County, Washington, unless you and Quite Cozy agree to another location.
• Costs: AAA consumer fee schedules apply. If your filing fees exceed what AAA’s consumer rules require, Quite Cozy will cover the excess. The arbitrator may award fees/costs only as allowed by applicable law.
• Individual Matters Only: The arbitrator may award relief only to the individual Party and only to the extent necessary to resolve that Party’s claim. Class, collective, or representative proceedings are not permitted in arbitration without the express written consent of both parties.
• Court Options Preserved: Either Party may (a) seek injunctive relief in court for misuse of intellectual property or breach of confidentiality, and (b) proceed in small-claims court as stated above. If a Party files in court and the other elects arbitration, the court action will be stayed as to arbitrable claims.
• Arbitrator’s Authority & Judgment: The arbitrator has the exclusive authority to resolve disputes about arbitrability and the interpretation, applicability, or enforceability of this arbitration section, consistent with the AAA rules. Any award may be entered as a judgment in any court of competent jurisdiction.
• Opt-Out (30 Days): You may opt out of this arbitration election provision within 30 days after you first agree to the Agreement by emailing Legal@QuiteCozy.com with your name, the email tied to your Account, and a clear statement that you opt out of the “Dispute Resolution — Arbitration (Optional Election)” provision. Opting out does not affect other terms.
• Severability: If the “Individual Matters Only” provision is found unenforceable in a particular claim, that claim (and only that claim) will proceed in court; the remainder of this section remains in effect.
• Survival: This section survives termination of the Services and this Agreement.
Class Action Waiver

To the fullest extent permitted by law, disputes must be brought in each Party’s individual capacity, not as a plaintiff or class member in any purported class, collective, consolidated, private attorney general, or representative proceeding. Unless both parties agree in writing, no arbitrator or court may consolidate, join, or coordinate the claims of multiple persons, or preside over any form of representative or class proceeding.
Severability: If this Class Action Waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court (not arbitration) in the venue specified in Governing Law & Disputes; the remainder of this Agreement (including the Arbitration section) remains in effect.

To the fullest extent permitted by law, both you and Quite Cozy waive the right to a jury trial for any dispute, claim, or cause of action arising out of or relating to the Services or this Agreement that proceeds in court (for example, if neither Party elects arbitration or for claims not subject to arbitration). This waiver does not limit any right to bring an individual claim in small-claims court where available.

Amendments
We may amend these Terms of Service from time to time to reflect changes in our practices or for operational, legal, or regulatory reasons. When we do, we will: (1) post the updated Terms of Service on our Site, (2) update the Revision Date at the top, and (3) provide additional notice if required by law (for example, an on-site notice or email). Unless we state otherwise or applicable law requires a different effective date, amendments take effect when posted. Your continued use of the Services after an amendment becomes effective constitutes acceptance.
For policies that govern orders (the Ordering & Payment Policy, Shipping & Delivery Policy, and Returns & Exchanges Policy), if an amendment would materially affect an existing order, we will apply the version in effect when you placed your order, unless the change benefits you or we are required by law to apply the new version.
We encourage you to review these Terms of Service periodically to stay informed about our current terms.

We are not responsible for delays or failure to perform due to events beyond our reasonable control (including but not limited to natural disasters, labor disputes, acts of government, war, terrorism, supply failures, or carrier interruptions).

You may not assign this agreement without our prior written consent. We may assign it as part of a merger, acquisition, or transfer of assets.

If any provision of this agreement is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later.
No Third-Party Beneficiaries

This Agreement is solely between you and Quite Cozy. No third party has any rights under this Agreement.

The provisions of this Agreement that by their nature should survive termination or expiration do survive, including (by way of example and in the order they appear above):
Term; Electronic Communications & Notices; Notices (How We Send & Receive Legal Notices); Product Information, Availability, & Pricing (to the extent of corrections and notices); Intellectual Property; Personal Use Only (No Wholesale/Resale) (as to orders placed during the term); User Content (Reviews & Submissions); Content Complaints; Copyright Complaints (DMCA); Feedback; Acceptable Use & Prohibited Conduct (as to past violations); Export & Sanctions Compliance; Privacy & SMS (as to data already collected and opt-out rights); Risk of Loss & Title (as to orders already shipped); Disclaimers; Limitation of Liability; Limitation Period for Claims; Indemnification; Governing Law & Disputes; Dispute Resolution — Arbitration (Optional Election); Class Action Waiver; Jury Trial Waiver; Force Majeure; Assignment; Severability & Waiver; No Third-Party Beneficiaries; Interpretations & Order of Precedence; and Entire Agreement.
Any payment obligations (including refunds and adjustments) that have accrued under an order also survive as provided in the Policies.

This Agreement (the Terms and the Policies) is the entire agreement between you and Quite Cozy regarding the Services and supersedes all prior or contemporaneous understandings on that subject.
